Terms of Service

1. Acceptance of Terms
By accessing or using the B12 Healthcare platform and services ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.
2. Description of Service
B12 Healthcare provides a clinical operating system for healthcare facilities in India, including patient registration, consultation management, diagnostics integration, billing, and related clinical workflow tools. The Service is provided as a cloud-hosted SaaS platform.
3. Eligibility
The Service is intended for use by healthcare facilities, professionals, and authorized representatives. By using the Service, you represent that you have the authority to bind the organization you represent.
4. Account Registration
You may be required to create an account to access certain features. You are responsible for maintaining the confidentiality of your credentials and for all activities under your account. You agree to notify us immediately of any unauthorized use.
5. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose
- Attempt to gain unauthorized access to any part of the Service
- Interfere with or disrupt the Service or servers
- Reverse engineer, decompile, or disassemble the Service
- Use the Service to transmit harmful or malicious code
- Violate any applicable Indian laws, including the DPDP Act
6. Intellectual Property
The Service and its original content, features, and functionality are owned by B12 Healthcare Private Limited and are protected by Indian and international copyright, trademark, patent, trade secret, and other intellectual property laws.
7. Data Ownership
You retain ownership of all data you input into the Service. We will not use your data for purposes other than providing the Service to you, unless explicitly authorized. Clinical data is processed in accordance with our Data Processing Agreement and applicable healthcare regulations.
8. Payment Terms
Fees for the Service are specified in your subscription agreement. All payments are due in advance on the billing cycle specified in your contract. Late payments may result in service suspension after 15 days' written notice.
9. Limitation of Liability
To the maximum extent permitted by Indian law, B12 Healthcare shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of the Service.
10. Indemnification
You agree to indemnify, defend, and hold harmless B12 Healthcare and its officers, directors, employees, and agents from any claims, losses, damages, liabilities, costs, and expenses (including reasonable attorney's fees) arising from your use of the Service or violation of these Terms.
11. Termination
Either party may terminate the agreement in accordance with the terms specified in your subscription contract. Upon termination, your right to use the Service ceases. We may retain data as required by law or for legitimate business purposes.
12. Governing Law
These Terms are governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Chennai, Tamil Nadu.
13. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on this page. Your continued use of the Service after such changes constitutes acceptance of the updated Terms.
